Overview: This webinar will discuss the critical stages and considerations involved in health care transactions. Participants will learn about the importance of preliminary discussions, due diligence, and the drafting of key pre-transaction documents such as Non-Disclosure Agreements and Letters of Intent. The session will also cover the complexities of deal structuring, including the impact of tax, antitrust, licensure, and HIPAA considerations, and the roles of both in-house and outside counsel in navigating these issues.

The webinar will delve into the negotiation and management of essential transaction documents, such as purchase and operating agreements, highlighting the importance of financial covenants, restrictive covenants, and indemnification provisions. 

Finally, participants will gain insights into post-closing considerations, such as tracking indemnification periods, ensuring compliance with post-closing covenants, and preparing documentation for future reference.
