Overview: This presentation applies a legal and financial approach to the lifecycle of hospice, home health, and other post-acute care transactions. The presentation identifies key legal and regulatory considerations for transaction structure, such as the 36-Month Rule, recent enforcement of CMS Periods of Enhanced Provider Oversight, structuring deals to comply with Medicare Conditions of Participation, and regulatory filings triggered by healthcare transactions. It also reviews all aspects of healthcare transactions—from due diligence, closing, and post-closing integration—from a financial and operational perspective to provide tips for ensuring financial sustainability and strengthen overall financial performance.
