Overview:
The California Attorney General’s recent enforcement actions signal an increased regulatory focus on how professional corporation (PC) and management service organization (MSO) structures comply with the state’s restrictions on the corporate practice of medicine (CPOM). These actions in California dovetail with recent legislative activity on CPOM at the federal level, where a bill has been introduced that, if enacted, would establish the first federal CPOM restrictions and significantly limit PC/MSO arrangements. These matters reflect the renewed attention state and federal regulators and policymakers are giving to CPOM across the country, which may have implications for both new and existing PC/MSO arrangements and transactions.
