Provider Compensation and Alignment for Private Equity (On-Demand Webinar)

Overview: This webinar starts with an overview of private equity (PE) transaction environment, highlighted events, and recent platform trends. Speakers review the impact of emerging specialty focus and intersection with hospitals and health systems, and the impacts—including valuation and post-transaction competitiveness—of physician compensation in PE-sponsored physician practices. They evaluate the relative advantages and disadvantages of various compensation structures in PE-sponsored models and discuss equity arrangements as alignment strategies (e.g., contingent consideration/earnout, rollover/equity awards, low-value units, profits interests) offered to seller providers and structuring in compliance with state and federal fraud and abuse prohibitions. They also discuss alignment in MSO-PC arrangements: legal and practical considerations in aligning “friendly” providers.
